These Terms of Service (“Terms”) and all policies referenced herein govern your access to and use of the services, software, and websites (“Service”) provided by Synchee LLC (“Synchee,” “we,” “our,” or “us”) and any data, text, files, information, usernames, images, graphics, photos, audio and video clips, applications, and other content or materials (collectively, “Content”) made available through the Service.

By using our Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or business (“Organization”), you represent that you have the authority to bind that Organization, and these Terms apply to that Organization.

ARBITRATION NOTICE: UNLESS YOU OPT OUT, DISPUTES WILL BE RESOLVED THROUGH BINDING ARBITRATION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

1. Account Creation and Responsibilities

• Account Information:
  You agree to provide accurate, complete, and current information when registering for an account. Accounts registered by automated means, such as bots, are not permitted. You must be at least 13 years old to create an account.
• Account Security:
  You are responsible for safeguarding your account password. Synchee cannot and will not be liable for any loss or damage arising from your failure to maintain security.
• Prohibited Uses:
• You may not use the Service for any unlawful purpose or in violation of any laws.
• You agree not to disassemble, decompile, or reverse-engineer any part of the Service.
• Paid Accounts and Subscriptions:
• Fees for paid accounts are non-refundable except where required by law or covered by a 30-day refund policy.
• By providing payment information, you authorize us to charge your selected payment method for all fees. Subscriptions renew automatically unless canceled before the renewal date.
• All taxes, except for our income taxes, are your responsibility.

2. Service Use and Restrictions

• License Grant:
  Synchee grants you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
• Prohibited Conduct:
• Do not attempt to access private APIs without permission.
• Do not transmit malware, viruses, or other harmful code.
• Do not interfere with or disrupt the Service or servers connected to the Service.
• Third-Party Integrations:
  If you use third-party applications with the Service, you allow Synchee to share relevant data with those applications.

3. Intellectual Property and Content

• Ownership of Synchee Content:
  All software, text, and other materials provided by Synchee are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, modify, or distribute Synchee’s content without permission.
• User-Generated Content:
  By uploading content, you grant Synchee a non-exclusive license to use your content to provide the Service. Synchee does not claim ownership of user-generated content.
• Content Removal:
  We reserve the right to remove content that violates these Terms or applicable laws.

4. Termination of Accounts

• Account Termination:
  Synchee may suspend or terminate your account for any reason, including inactivity or violation of these Terms.
• Effect of Termination:
  Upon termination, your access to the Service and data may be permanently deleted. Synchee is not liable for the loss of content or data after termination.

5. Dispute Resolution and Arbitration

• Arbitration Agreement:
  All disputes will be resolved through individual arbitration, not in court, except for disputes involving intellectual property.
• Class Action Waiver:
  You waive your right to participate in class actions or collective lawsuits.
• Opt-Out Process:
  To opt out of arbitration, you must provide written notice to Synchee within 30 days of accepting these Terms at:

6. Limitation of Liability

Synchee is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to $100 or the amount you paid for the Service, whichever is higher.

7. Indemnification

You agree to indemnify and hold Synchee harmless from any claims, liabilities, damages, and expenses (including legal fees) resulting from your violation of these Terms or third-party rights.

8. Modifications to the Service and Terms

• Service Changes:
  We may modify or discontinue the Service at any time without liability to you.
• Updated Terms:
  We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

9. Governing Law and Venue

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or the Service will be resolved in the courts located in Orange County, California.

Your use of the Service is governed by our Privacy Policy, which outlines how we collect, use, and store your information.
